Terms of Service

The subscription agreement between you and Howells Digital Ltd. Written plainly, governed by the laws of England and Wales.

Glossary

Customer
The individual or legal entity subscribing to Kommercio under these Terms.
Services
The Kommercio platform, admin panels, storefronts, APIs, and support provided under the Customer's active subscription.
Subscription
The paid access plan selected by the Customer (Starter, Growth, Pro, Enterprise, or a bespoke contract).
Fees
The monthly or annual amount payable by the Customer for the Subscription plus any usage-based charges.
Content
All data, text, images, product information, and other material the Customer uploads to, creates in, or generates through the Services.

1. Parties & acceptance

These Terms form a binding agreement between Howells Digital Ltd, a company registered in England and Wales ("we", "us", "Kommercio"), and the individual or entity that accepts them ("Customer", "you").

You accept these Terms by creating a Kommercio account, by paying for a Subscription, or by using the Services. If you are accepting on behalf of a legal entity, you warrant that you have authority to bind that entity.

2. Service description

Kommercio is a multi-tenant SaaS platform providing ecommerce, admin, purchasing, accounting, payments, website-building, marketing, and AI features to UK distributors and similar businesses. The specific features available depend on the Subscription tier.

The Services include accounting tools and tax computation tools. These produce outputs intended to help you run your business — they are not a substitute for professional legal, accounting, audit, or tax advice. You remain responsible for reviewing outputs before relying on them for statutory filings or legally significant decisions.

We may update, add, or remove features over time as part of normal product development. Material reductions in functionality affecting a Customer's active plan will be notified in advance in accordance with section 11.

3. Subscription & billing

Plans

All prices exclude VAT. VAT will be added where applicable.

Billing cycle and renewal

Subscriptions are billed monthly in advance on the anniversary of sign-up. Subscriptions auto-renew for successive monthly terms unless cancelled before the renewal date.

Cancellation is self-serve from the admin panel at any time. Cancelling before the next renewal date stops the next charge; access continues until the end of the current paid period.

Payment

Fees are payable by card or Direct Debit via our payment processors. Failed payments trigger automatic retry and email notification. Persistent failure after 14 days may result in service suspension and, after a further 30 days, termination.

Refunds

Except where required by law (including applicable UK consumer protection law), Fees are non-refundable for the current billing period. Service credits are available under the Service Level terms in section 7.

Price changes

We may change Subscription pricing. Existing Customers will receive at least 30 days' email notice before any price change affects their renewal. You may cancel before the change takes effect without penalty.

4. Acceptable use

You agree not to use the Services to:

Rate limits apply across the API and bulk operations. Current limits are published in the documentation and may be changed with reasonable notice.

5. Customer data

Customer owns all Content uploaded to, created in, or generated via the Services. Kommercio acts as a data processor in respect of personal data within the Content. Our Data Processing Agreement (DPA) is incorporated into these Terms by reference and is available at /legal/gdpr, with signed PDFs available on request.

We will not access your Content except (i) to operate and support the Services, (ii) at your request, (iii) to the extent required by law, or (iv) as strictly necessary to investigate suspected abuse, security incidents, or violations of these Terms.

6. Intellectual property

Kommercio owns all right, title, and interest in the platform, software, documentation, branding, and any improvements to the same. Customer owns its own Content and any data exported from the Services.

We grant Customer a non-exclusive, non-transferable, revocable licence to use the Services during the term of the Subscription, strictly in accordance with these Terms.

Feedback, suggestions, and improvement ideas submitted by Customer may be incorporated into the Services without obligation or attribution.

7. Service level

We target 99.5% monthly uptime excluding scheduled maintenance. Scheduled maintenance is announced at least 48 hours in advance and scheduled outside UK business hours wherever practical.

Where an unscheduled outage exceeds 8 continuous hours on Pro or Enterprise plans, affected Customers may claim a service credit of 10% of the month's Fees by writing to support within 30 days of the incident. Service credits are the sole and exclusive remedy for uptime shortfalls. No mid-period refunds are issued except where required by statute.

8. Warranties & liability

We will provide the Services with reasonable skill and care. Except as set out in these Terms, and to the maximum extent permitted by law, all other warranties — express or implied — are excluded.

Nothing in these Terms limits or excludes either party's liability for (i) death or personal injury caused by negligence, (ii) fraud or fraudulent misrepresentation, or (iii) any liability that cannot lawfully be excluded under the Unfair Contract Terms Act 1977, the Consumer Rights Act 2015, or other applicable UK law.

Subject to the above, each party's total aggregate liability under or in connection with these Terms in any 12-month period is capped at the Fees paid by the Customer to Kommercio in that 12-month period. Neither party is liable for indirect, consequential, or special losses, loss of profit, loss of revenue, loss of goodwill, or loss of anticipated savings.

9. Termination

For convenience. Either party may terminate the Subscription for any reason effective at the end of the current billing period via the admin panel (Customer) or 30 days' written notice (Kommercio).

For material breach. Either party may terminate on written notice if the other commits a material breach and fails to remedy it within 30 days of being notified. For the avoidance of doubt, persistent failure to pay Fees or repeated breach of the Acceptable Use section constitutes material breach.

Data export. Customer has 30 days after termination to export Content via the admin panel or API. After 30 days, Content is deleted from primary systems and will persist in backups for up to 30 further days before final deletion.

10. Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.

11. Changes to these Terms

We may update these Terms from time to time. For non-material changes, the updated Terms take effect on publication at this URL. For material changes, we will give at least 30 days' notice to tenant admins via email, and Customer may terminate without penalty if the change is unacceptable.
